Share what worked. Get paid when it works for someone else.

1. What this is

You send people to Red Lion Clinic using a personal referral link. When someone you referred buys, you earn a commission. That is the whole arrangement.

You are an independent contractor. You are not our employee, partner, agent, or joint venturer. You cannot sign anything, promise anything, or speak for the Clinic. Nothing here creates an exclusive relationship in either direction.

2. Your link and how credit works

We issue you a referral link containing your unique code.

Credit is first-touch and permanent. The first time someone reaches us through your link, that email address is credited to you. If that person later buys through a different affiliate's link, or straight from our website, or on a different device or browser months later, the commission is still yours. You do not lose a customer because they lost your link.

The corollary: if someone was already credited to another affiliate before they ever saw your link, that sale belongs to them, even if your link was the one they clicked. First contact wins, both directions.

Credit attaches to the customer, not to a single purchase. Every repeat order that person places pays you, for as long as they keep ordering.

One affiliate is paid per order. No customer’s order is ever split between two affiliates, and no commission you earn is ever reduced because of somebody else. If you are a patient yourself, your own orders continue to pay whoever referred you; you cannot earn commission on your own purchases.

Separately from that, if you introduce someone who becomes a Brand Partner, you may earn a recruiting commission on the sales they generate. We pay that — it is never taken out of what they earn. See Section 2a.

2a. Recruiting commission

What you earn. If you introduce someone who becomes a Brand Partner, we pay you 5% of the amount the customer actually pays on their qualifying orders — about $15 on a $299 supply and $30 on a $599 one. There is no end date. You are paid for as long as you are both active with us, exactly the way your own commission keeps paying.

We pay it, not them. The 5% comes out of Red Lion Clinic’s margin. The Partner you introduced is paid their full 15% on every one of their sales. Nothing is deducted from them, ever, and they are not charged for having been introduced by you.

One level only. You are paid on the Partners you personally introduce. You are not paid on anyone they introduce, and there is no level below that. This program has exactly two levels and will not have three.

Paid on sales, never on signing anyone up. You are not paid for recruiting a Partner — not when they are approved, not per person, not for how many you bring. You are paid only when a real customer places a real, paid, non-refunded order. If someone you introduced never generates a sale, you are paid nothing for them.

No fee, ever. There is no cost to join, no monthly fee, no minimum purchase, no volume requirement, and nothing you must buy to stay active or to qualify for this.

Same exclusions as your own commission. Not paid on discounted orders, not paid on a Partner’s own purchases, and clawed back from your next payout if the underlying order is refunded.

Both of you have to be active. If your account is inactive or terminated, this stops. If the Partner you introduced is inactive or terminated, it stops for their sales. It does not transfer to anyone else.

How the introduction is recorded. They name you on their application and we record it when we approve them. It cannot be claimed afterwards, cannot be claimed by two people, and cannot be changed once it is set. If you introduce someone, tell them to put your name on the form.

What you will and will not see. Your monthly statement shows the name of each Partner you introduced, how many qualifying orders they generated, and what you earned. It does not show you their customers. Those customers’ names never reach you — they authorized a disclosure to the Partner who referred them, and to nobody else.

3. What you are paid

15% of the amount the customer actually pays, on every order they place.

• Discounted orders pay no commission. If a customer uses a discount code, that order earns nothing — one or the other, never both. It does not affect your credit for that customer; their next full-price order pays you normally.
• Refunded orders pay no commission. If an order is refunded after you were paid, the amount is deducted from your next payout (a clawback). Disputed or charged-back orders are held until resolved.
• Commission is calculated on the product amount paid, excluding any shipping, taxes, or fees.

You are notified by email every time someone you referred buys, with the amount, your commission on it, and your running total for the month.

You are paid on the 1st of each month for the prior month, and receive a statement itemising every sale by date and amount. We will agree your payment method with you when you sign.

Commission is a percentage of the amount the customer pays, not a share of our profit. We may describe it elsewhere as roughly half the margin on an order — that is a plain-English comparison, not a term of this agreement, and it does not entitle you to our costs, margins, or accounts.

You are responsible for your own taxes. We will request a W-9 and issue a 1099 where required by law.

4. Customer information — read this part twice

When someone you referred places an order, we tell you their name and email address — but only when that patient has agreed to it. Many do. Some don’t, and that is entirely their choice. When they haven’t agreed, you still see the sale and the commission; you just do not see who it was.

Red Lion Clinic is a medical practice. That information is confidential health information. Knowing that a specific person ordered from us reveals that they are a patient of a telehealth clinic that provides weight-management medication. Treat it accordingly.

You agree that you will:

• Never disclose, publish, post, forward, sell, or share a customer's name, email, or the fact that they are a Red Lion patient with anyone, for any reason.
• Never use customer information to market anything — not ours, not yours, not anyone else's. It is for verifying your own commissions and nothing else.
• Never add a customer to a mailing list, CRM, group chat, or contact list.
• Never contact a customer about their order, their treatment, or their health.
• Keep it secure, and delete it when you stop working with us.
• Tell us immediately if you disclose it by accident, lose a device containing it, or someone else gains access to it.

We never tell you what a customer purchased. Medication, dose, and any clinical information stay inside the Clinic and are never shared with affiliates.

These obligations survive termination and last indefinitely. If you breach them, we may terminate you immediately, withhold unpaid commission, and pursue any other remedy available to us. This is the one section where a mistake causes real harm to a real person.

(For clarity: this Agreement does not make you a HIPAA Business Associate, and it is not a Business Associate Agreement. You are receiving a limited disclosure that patients have authorized. You are not permitted to handle patient information for any other purpose.)

5. How you may promote us

Be honest, be yourself, and follow the rules below. If you are unsure whether something is allowed, ask us first.

You must:

• Say that you earn a commission when the person seeing it could not otherwise know. A post, a story, a text — "#ad," "paid partnership," or a plain sentence saying you're compensated all work, and it should be visible without clicking "more." If the person seeing your recommendation could reasonably know you are paid — you are a provider selling in your own practice, for instance — there is nothing to announce.
• Describe your own honest experience, if you are a patient. Say what happened to you.
• Send people to us through your link and let our intake process do the rest.

You must not:

• Make medical claims. Do not say or imply that any medication treats, cures, or prevents a disease, is safe for everyone, or will produce a particular result.
• Say or imply anything is "FDA-approved." Compounded medications are not FDA-approved, and saying otherwise is a serious misstatement. Do not use the phrase at all.
• Guarantee results, promise an amount of weight loss, or present your results as typical.
• Give medical advice, recommend a dose, or suggest whether someone qualifies. You are not a provider. Only our licensed clinicians decide who is a candidate.
• Send unsolicited text messages. Cold SMS to people who have not asked to hear from you carries statutory penalties per message. Do not do it.
• Send unsolicited bulk email, or buy email lists.
• Use fear, urgency about access or bans, or scarcity claims about medication supply.
• Bid on "Red Lion Clinic" or our brand terms in paid search, or use our name in a domain, subdomain, social handle, or app name.
• Impersonate the Clinic, our staff, or our providers, or create accounts, pages, or profiles that appear to be us.
• Offer your own rebates, cashback, or coupons for our services without our written approval.
• Promote us on any site containing adult, illegal, hateful, or misleading content.
• Refer yourself, or create accounts to earn commission on your own purchases.

We may ask you to take down anything that breaks these rules. Do it promptly.

6. Our brand

We grant you a limited, revocable, non-exclusive licence to use our name and logo solely to promote us as described above, while this Agreement is in effect. Do not alter the logo. All goodwill from your use belongs to us. The licence ends when this Agreement ends.

7. Ending it

Either of us can end this Agreement at any time, for any reason, with written notice (email is fine).

If you end it or we end it without cause, you are paid commission earned through your last day, on the next normal payout date.

If we end it because you broke Section 4 or Section 5, we may withhold unpaid commission.

On termination: stop using your link, take down our brand, and delete any customer information you hold. Section 4 keeps applying forever.

8. Changes

We may change commission rates, terms, or program rules with 30 days' written notice. Changes are not retroactive — anything you already earned is earned. If you keep promoting us after a change takes effect, you have accepted it.

9. The legal ending

No warranties. The program is provided as-is. We do not guarantee any level of traffic, conversion, or earnings.

Limitation of liability. Our total liability to you for anything arising out of this Agreement is limited to the commission we owe you at the time the claim arises. Neither of us is liable to the other for indirect or consequential damages.

Indemnity. You will cover us for claims arising from how you promoted us — including claims that your statements were misleading, that you made medical claims, that you sent messages someone did not consent to receive, or that you disclosed customer information.

Governing law. Arizona.

Entire agreement. This replaces any prior affiliate or referral arrangement between us. It can only be changed in writing, except as described in Section 8.

If any part is unenforceable, the rest still stands.
